1. Acceptance of Terms

By accessing or using the SmartNode Media platform (“Platform”), you agree to be bound by these Terms of Service. If you do not agree, please discontinue use immediately. These Terms apply to all publishers, advertisers, and partners accessing any service offered by SmartNode Media.

2. Platform Services

SmartNode Media provides a programmatic advertising network connecting publishers with demand-side partners via OpenRTB-compliant infrastructure. Services include real-time bidding integrations, header bidding support, ad inventory optimization, IVT detection, and performance analytics.

3. Publisher Eligibility

Publishers must own or control submitted domains, comply with applicable advertising standards, and maintain content that does not violate our prohibited content policy. SmartNode Media reserves the right to approve or reject applications at its sole discretion.

4. Payment Terms

Publishers are compensated on a Net-30 basis after each calendar month, subject to a minimum payment threshold of USD $100. Payments are issued by wire transfer or PayPal. SmartNode Media reserves the right to withhold payment during fraud investigations.

5. Traffic Quality

All traffic must be human and organic. Prohibited practices include incentivized clicks, bot traffic, ad stacking, pixel stuffing, and misrepresentation of inventory attributes. Violations result in immediate account suspension.

6. Prohibited Content

Publisher inventory must not contain illegal content, adult content without proper gating, malware, discriminatory content, or anything violating IAB content standards.

7. Intellectual Property

All Platform technology and branding remain the exclusive property of SmartNode Media. Partners receive a limited, non-exclusive license to access the Platform for ad delivery purposes only.

8. Limitation of Liability

To the maximum extent permitted by law, SmartNode Media shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed amounts paid in the three months preceding a claim.

9. Termination

Either party may terminate with 30 days written notice. SmartNode Media may terminate immediately for material breach or fraud.

10. Governing Law

These Terms are governed by the laws of the Netherlands. Disputes are subject to the exclusive jurisdiction of the courts of Amsterdam.
